These Terms of Service are a binding legal agreement between you and WellTalky and apply to your use of the WellTalky website, applications and other products on the platform. These Terms should be read in conjunction with and are in addition to our other policies, including our Privacy Policy, Help documentation, etc., which are incorporated by reference into these Terms.

When you access and use (or continue to use) this WellTalky website or application ("WellTalky", "Platform" or "we"), or register as a member ("Teacher" , "Student" or "You"), you will be deemed to agree to be bound by the terms and conditions of this WellTalky User Service Agreement and other agreements, the Privacy Policy, the guidelines listed below or referred to herein (collectively, the "Service Terms").

If you do not agree to these Terms of Service, please stop accessing this platform immediately.

1. About us

WellTalky is an online knowledge sharing platform. WellTalky aims to use the global Internet to find teachers who match your requirements through search and intelligent recommendations, and complete the learning experience of course purchase, reservation and teaching. The WellTalky platform provides technical and security services such as chat, content release management, intelligent recommendations, retrieval, fund guarantees, online classrooms, and comments, as well as other services that the platform continues to iterate and update.

Based on the above description, we need to clarify the following definitions:

  • As the provider of the WellTalky platform, WellTalky is not one of the participants such as teachers or students, nor is it the agent or broker of the midterm party. WellTalky does not act as an agent in any capacity for any Member, except as otherwise provided in the Terms of Service.
  • Members who publish course content and provide course services are teachers (or teachers).
  • Members who purchase teacher or course services are students.
  • According to regulations, ordinary visitors who browse the website must provide complete and accurate information in order to be qualified as students or teachers and obtain the corresponding functions provided by the website.
  • In these terms, the use of "you" or "your" refers to you, whether as a visitor, member, student or teacher.

You understand and agree that WellTalky has no control over the actions of students, teachers, members or other users of the platform, nor any services provided by teachers or other members on the WellTalky platform. Members are not employees or agents of WellTalky, and WellTalky has no responsibility for any of its members. does not bear any responsibility for any actions, and members shall not act on behalf of this platform without the written consent of this platform.

3. Terms of Use and Policies

3.1 Basic Terms

  • You agree that in order to use the functions provided by the WellTalky Platform, you must create an account ("WellTalky Account") and become a member.
  • You agree to provide accurate, up-to-date and complete information during the registration process, and provide true personal information based on local legal regulations, and be responsible for whether the information complies with applicable laws, and authorize the platform to verify it.
  • You may not impersonate someone else, provide an email address, mobile phone number other than your own, or create multiple WellTalky accounts.
  • You acknowledge that you are responsible for ensuring that any username you choose does not infringe any third party rights and is not otherwise unlawful.
  • You can also register as a member and log in to our website or application through your third-party social account (including but not limited to WeChat, Weibo, Google account, etc.). Unless you bind your email address or phone number and set a password for the account, you cannot obtain the complete product services of the WellTalky platform.
  • You should take good care of your account and ensure its security. If there is any mistake or identity theft, you should notify the platform as soon as possible and try your best to provide relevant information for the platform to investigate.
  • If you choose to link a third-party account with your WellTalky account, depending on the privacy settings you select in such third-party account, certain information you provide to us from the link to the third-party account may be accessible through Your account settings page is viewed and managed on the WellTalky platform.
  • When you agree to post any User Content, you represent and warrant that: 1) You are the sole owner of the User Content; 2) The User Content is accurate and healthy; 3) You are over 18 years old; 4) The submitted User Content does not violate Any or all policies of this Platform. You must ensure that any User Content you post complies with applicable laws, regulations and related provisions. If there is any infringement or illegal behavior, you must bear all responsibilities arising therefrom.
  • You acknowledge and agree that you are solely responsible for all Member Content provided through the WellTalky Platform.

3.2 Membership Terms

  • Student members can directly search, contact, select and reserve teachers. After paying the class fee, students can make an appointment with the teacher and obtain teaching services;
  • Student members should refer to the course quantity, price and discount strategy displayed on the checkout page to pay tuition fees, and pay tuition fees according to the payment method they choose. Student members and teacher members can send course packages through the messaging function provided by the platform and purchase courses on the platform checkout page.
  • You can pay for your order in a currency that may be accepted by the platform of your choice. Credit card payments are generally charged in RMB. Nonetheless, since the Platform may accept different exchange rates from different third-party payment service providers in different countries, you agree that you shall pay and be responsible for any exchange differences or surcharges arising from the payment process such as payment to banks, credit card issuance, etc.
  • You can apply to become a teacher. You are aware that in order to ensure the teaching experience for you, students and the platform, applying to become a teacher requires you to provide true identity information, teaching qualifications, certificates and video materials that match your teaching ability. The platform's Teacher Approval Mechanism will review all content you submit, upload, and publish to confirm whether you can pass the review.
  • If you are a teacher, you know that you must conduct effective identity verification and submit your true and consistent identity information and payment account in order to obtain the complete teacher services provided by the platform.
  • If you are a teacher, you know that the WellTalky platform will display your personal information, teaching-related text introductions, self-introduction videos, and course information. You can chat and share your course knowledge with student members through the WellTalky platform. Teachers are responsible for ensuring that teaching methods, content, teaching materials and their quality comply with applicable laws.
  • If you choose to teach on the WellTalky platform, you understand and agree that your relationship with WellTalky is limited to becoming a member of WellTalky and an independent third party, rather than becoming an employee, agent, joint venture or cooperation of WellTalky for any reason Partner, and you are acting solely on your own behalf and in your own interests and not on behalf of WellTalky or WellTalky’s interests.
  • If you choose to teach on the WellTalky platform, it means that you understand and agree that this platform may charge you a platform service fee. The platform reserves the right to change the courses, price ranges and preferential policies on the platform checkout page, but such changes will not affect orders placed before the change announcement.

3.3 Platform Rights

  • This platform will continue to implement an effective and sound review mechanism to review all content you submit, publish, upload, transmit, share, link, display or otherwise provide (collectively, "post"), including but not limited to comments , information, opinions, graphics, pictures, audio, video, questions and other user-generated content (collectively, "User Content"), ensure that the generated content complies with the WellTalky Terms of Service and other policy requirements of this platform.
  • WellTalky may refuse, in its sole discretion, WellTalky to grant you a username for any reason, including whether the username used impersonates or misleadingly associates with the character of another person or entity, is unlawful, and is protected by a trademark or other proprietary right. , is objectionable, offensive, or may cause confusion, or for any other reason as determined by WellTalky in its sole discretion.
  • You understand and agree that, regardless of whether you authorize your password, if someone else uses your WellTalky account to engage in activities that violate these WellTalky Terms and any illegal laws, your ITALKI account may be suspended or terminated. WellTalky reserves the right to change, delete, change or remove any username at any time and for any reason at WellTalky's sole discretion without prior notice.
  • WellTalky does not control and does not have the right to control your interests, activities related to your profile or listed services, or any other matters related to any services you provide. As a member, you agree not to do anything to create the illusion that you are endorsed by, work with, represent or benefit from WellTalky, including making any unauthorized or inappropriate use of any WellTalky intellectual property.
  • You agree that if the platform does not receive payment or there is insufficient funds due to incorrect bank transfers or other reasons, the platform reserves the right to require you to pay or cancel the order; this also applies to the situation where teacher members display incorrect prices. The platform will refund the unused tuition fees to you as soon as possible after clarifying the issue. Once the refund process is completed, the order is invalid.
  • You understand and agree that each order has its own expiration date. The validity of your order depends on the course package you purchased. You agree to abide by the expiration and extension policies posted on the Platform.
  • The platform does not provide a guarantee for service suspension or interruption due to the fault of the third-party provider.
  • The platform does not guarantee service suspension or interruption due to force majeure such as war, major fires, floods, typhoons, earthquakes, infectious disease outbreaks, etc.

3.4 Course Dispute Resolution

  • You agree to abide by the Platform’s policies regarding booking, canceling or rescheduling classes.
  • You should cancel or reschedule your class at least 4 hours before it starts. You cannot cancel or reschedule the course within 4 hours before the course starts. You can negotiate with the other party, and the other party has the right to decide whether to return the course to you or reschedule another course.
  • If there are any course disputes, please contact WellTalky customer service within 72 hours after the class is scheduled to end. If you fail to file a dispute promptly, you may not receive any refund or reschedule any classes. You may not abuse any rewards, coupons, obtain illegal benefits for yourself or others, or otherwise use marketing and reward policies that are not expressly permitted by the Platform.
  • If a dispute arises due to payment or refund, you should try your best to cooperate with the platform to provide relevant information for investigation, and cooperate with banks, financial institutions or other relevant departments to complete the investigation process.
  • Platform principles: 1) The platform will not take the initiative to intervene in course disputes between students and teachers; 2) Students and teachers can negotiate and resolve on their own. If the negotiation fails, the platform can be contacted to intervene; 3) The platform will proceed based on the evidence submitted by both parties. Judgment; 4) Both students and teachers should provide relevant evidence to support the facts required for dispute resolution, and promise that the evidence is true and valid;
  • Dispute resolution: 1) The platform can comprehensively consider all evidence to decide whether to fulfill the teaching service agreement. 2) If either party to the dispute terminates the teaching service for justifiable reasons, the platform can make appropriate adjustments to the disputed order or return unused tutorials to the student account. 3) If the facts are unclear and the platform is unable to make a decision, the platform may refund student members based on specific circumstances and negotiate compensation with tutor members.

3.5 Refund Policy

  • You (student member) agree that any refund after you purchase the course package through this platform can only be refunded to the student member's payment account. No cash will be refunded.
  • This platform provides account refunds to student members in the form of order returns. The total refund will be calculated based on the tuition per class multiplied by the number of unused classes less surcharges, currency exchange rate refunds and discounts (fees for completed classes are normally paid to the instructor's account under the Teaching Services Agreement). The number of courses used by student members will be calculated based on the actual order price to avoid differences due to prepaid, multi-course discounts.
  • After refund, student members have no right to require the platform or teacher members to perform teaching requests beyond their obligations. You acknowledge and agree that there are certain procedures for the refund process. WellTalky will complete the refund within 30 working days after receiving your confirmation.
  • The coupon return and exchange policy is as follows: 1) If the purchased course package is not used at all, after applying for a refund, the coupon used by the student member will be returned at the same time, and the use period of the coupon will be automatically extended; 2) The purchased course package If the coupon has been used and there is no dispute, after applying for a refund, the used coupon will not be returned. The refund amount will be converted based on the actual payment amount and the number of classes.

4. Restrictions

Your use of and access to the WellTalky Platform (all products or services) is subject to the following conditions (“Acceptable Conditions of Use”). You hereby agree that any failure to comply with any of the following conditions of acceptable use will constitute a breach of these Terms.

4.1 Unacceptable Conditions of Use：

  • Violate the rights of any third party, including any private information of any third party such as the Platform, other users, including addresses, phone numbers, email addresses, numbers and characteristics from personal identification documents or credit card numbers, etc, Solicit personal information from minors or submit or distribute pornographic content;
  • Upload or post any content that is defamatory to any person, obscene, offensive, pornographic, hateful, inflammatory or otherwise objectionable. or is otherwise objectionable in our sole discretion, including threatening, stalking, harming or harassing others, or promoting bigotry or discrimination;
  • knowingly transmit any data or send or submit any content that contains viruses, Trojan horses, worms, time bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect operations; computer software or hardware;
  • Any unsolicited or unauthorized advertising, solicitation or any other prohibited form of solicitation, including sending bulk emails, surveying other members of the public, whether or not of a commercial nature;
  • Maliciously conduct activities that violate local laws and ethical standards through the platform, such as money laundering, asset transfer, etc. Or any other behavior that, according to our judgment, poses a security risk or violates the law.
  • You may not use this platform to conduct false or illegal transactions.

4.2 Compensation

You agree to indemnify WellTalky from and against any claim or demand made by any third party arising out of or relating to:

  1. Any liability arising from your violation of the WellTalky terms and income from course services paid to teachers.
  2. Any negligent or intentional misconduct committed by you on or through the WellTalky Platform.
  3. Your or any third party's use of your WellTalky account infringes any intellectual property or other right of any person or entity.
  4. You have not paid or disputed any fees or any other amounts due to any teacher.
  5. You have failed to fulfill your obligations as a teacher or to teachers.

WellTalky reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify WellTalky, and you agree to cooperate with WellTalky's defense of these claims. You agree not to resolve any such matter without WellTalky's prior written consent. WellTalky will make every effort to notify you of any such claim, action or proceeding upon becoming aware of it.

5. Scope and Amendments to the Agreement

5.1 These Terms of Service include these Terms of Service, Privacy Policy and other guidelines and policies published by the Platform from time to time.

In addition, these Terms of Service also include or cover information or announcements published by this platform, announcements on third-party websites affiliated with this platform (such as this platform’s blog), membership policies, etc. Rules, user codes of conduct, Q&A, marketing and reward policies, etc. disclosed on any other platforms authorized by this platform (such as WeChat, Facebook).

5.2 WellTalky reserves the right to update, modify and supplement this Agreement from time to time to maintain the Platform.

Each such update, revision or supplement shall become a part of this Agreement. If this Agreement is modified, updated or supplemented, the Platform will publish an update announcement on its website or application, or notify you in other ways. If you continue to browse or use this Platform, you agree to be bound by the updated Terms and Conditions, otherwise you should stop accessing this Platform and may contact us for further assistance.
